An "upfit", more commonly known as a "fitout", is the tenant improvement work within an empty commercial shell space. The landlord typically provides HVAC and electrical services stubbed into the space, along with the separation walls between tenants- the rest is up to the renter, and becomes the "tenant fitout". In some cases the landlord contributes some $$ to help cover the cost of this work, but it's rarely enough to finish the space completely- walls, flooring, ceilings, furniture/fixtures, etc.
